PROPRIETARY LICENSE AGREEMENT FOR MEDIA GRAB ADD-ON

This Proprietary License Agreement ("Agreement") is a legal agreement between you (either an individual or an entity) and the Media Grab development team ("Licensor") for the use of the Media Grab add-on ("Software").

1. License Grant
Licensor grants to you a non-exclusive, non-transferable license to use the Software.

2. Restrictions
You may not modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software.

You may not distribute, sublicense, rent, lease, or lend the Software.

3. Ownership
Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights.

4. Disclaimer of Warranty
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

5. Limitation of Liability
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Term and Termination
This Agreement is effective until terminated. Licensor may terminate this Agreement immediately upon your breach of any provision of this Agreement. Upon termination, you must immediately cease using the Software.

7. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor is located. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction.

8. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the use of the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.

By using the Software, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms and conditions of this Agreement, do not use the Software.
